Bernitsas Law secures unconditional phase 1 merger clearance for the acquisition of ENTERSOFT SA

Bernitsas Law advised Unity Holding Company (UHC), a holding company jointly controlled by Olympia Group and Rucio Investment Sàrl, in obtaining unconditional phase 1 merger clearance from the Hellenic Competition Commission (HCC) for the acquisition of Entersoft SA.

Entersoft SA is listed on the Athens Exchange and the acquisition was achieved through a mandatory public offer for the purchase of Entersoft shares.

Simultaneously our team advised the parties on the change of control over SoftOne. This was also unconditionally cleared in phase 1 by the HCC as a single and interrelated transaction with the Entersoft acquisition. Both Entersoft and SoftOne are Greek companies active in the IT sector and, specifically, in the market for enterprise application software (EAS). Our work also involved coordinating the merger clearance procedure before the Commission for the Protection of Competition (CPC) in Cyprus.
